Terms of Service
1. The service
Dexter Agents (the "Service") is business software (SaaS) that lets companies configure AI agents for their own WhatsApp business number. The agents answer customer messages, qualify leads, schedule meetings and draft follow-ups for conversations the customer already has with its own contacts. The Service includes a CRM board, a knowledge base, a human-approval workflow (Dexter Worker), scheduled messages, Google Calendar integration, an MCP server and a REST API.
The Service is designed for individual business conversations. It is not a bulk messaging, mass marketing or lead list service, and it may not be used as one (see Acceptable Use).
The Service is in a public pre-launch (beta) phase. Features may change, and new features may be added or removed.
2. Acceptance and eligibility
By creating an account or using the Service you agree to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, do not use the Service.
The Service is intended for businesses and professionals. You must be at least 18 years old and, when acting for a company, authorized to bind it.
3. Acceptable use
You are responsible for every message sent through your account, whether written by you or drafted by an agent. You agree not to use the Service to:
- send spam, unsolicited bulk messages or any mass marketing campaign;
- message purchased, rented, scraped or otherwise acquired contact lists, or people who have not had a prior relationship with your business or given you a lawful basis to contact them;
- keep contacting a person who asked you to stop. Opt-out requests must be honored immediately;
- impersonate any person or company, or generate content using someone's likeness without their consent;
- send illegal, fraudulent, deceptive, harassing, hateful, sexual or violent content, or promote prohibited goods and services;
- circumvent the Service's sending limits, approval workflow or opt-out list;
- violate the policies of WhatsApp/Meta, of your connection provider, or any applicable law, including data protection (LGPD, GDPR) and consumer protection laws.
You must have a lawful basis (such as consent or an existing customer relationship) for every contact you add, and you must tell your contacts that they may be talking to an AI assistant when required by law.
4. Sending safeguards
To protect message recipients, the Service includes safeguards that cannot be disabled by the customer:
- Human approval by default: in its default mode, the Dexter Worker drafts follow-ups and waits for your approval before anything is sent. Automatic modes must be turned on by you and are subject to a daily limit you set.
- Rate limits: scheduled messages are sent one at a time, with a minimum interval between messages, within the time window you choose.
- Automatic stop: scheduled messages to a contact stop as soon as that contact replies, and an agent or a person takes over the conversation.
- Opt-out list and number check: people who asked not to be contacted are excluded, and numbers that do not exist on WhatsApp are skipped.
- Duplicate protection: the same message is not sent twice to the same number.
5. WhatsApp connection and third-party providers
To connect a WhatsApp number, you choose and contract a connection provider directly: currently Z-API or Evolution API. These providers are independent companies, billed separately by them, and are not affiliated with, endorsed or certified by Meta Platforms, Inc. or WhatsApp LLC. Integration with the official WhatsApp Cloud API is in closed beta.
You are responsible for complying with the terms of your connection provider, of WhatsApp, of your AI provider (when you bring your own key) and of any other integration you enable (such as Google Calendar).
6. Plans, prices and billing

All plans include every feature of the Service. Contacts and knowledge base storage are not capped, but message sending is always subject to the safeguards and acceptable use rules above. Pre-launch prices are valid until December 31, 2026. Until that date the included AI model (GPT-5.6 luna) is free on all plans; alternatively you may bring your own AI provider key (BYOK) and pay that provider directly. WhatsApp connection providers charge separately.
Subscriptions are billed monthly in advance and renew automatically until cancelled. You can cancel at any time from your account or by writing to contato@conecte.ai; cancellation takes effect at the end of the current billing period. We may change prices with at least 30 days' notice; the new price applies from the next renewal.
7. Payments through Paddle (Merchant of Record)
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to payments and handles returns. Your purchase is also subject to Paddle's Buyer Terms. Prices may be shown with applicable taxes (such as VAT or sales tax), which Paddle calculates and collects.
Refunds are governed by our Refund Policy.
8. AI-generated content
Agents generate responses with large language models. AI output may be inaccurate or incomplete. You are responsible for configuring your agents, reviewing their behavior (the Service includes a simulator and a human approval mode) and for the content sent on your behalf.
9. Customer data and privacy
You own your data. For the personal data of your contacts, you act as the controller and we act as the processor, processing data only to provide the Service. Details are in our Privacy Policy, which is part of these Terms.
10. Support and contact
Support is provided through the Help section inside the Service, where an AI assistant resolves common questions and escalates other cases to our team, and by email at contato@conecte.ai.
11. Beta, availability and changes
During the pre-launch phase, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted operation. We make daily backups but cannot guarantee recovery of all data. We may perform maintenance and change features at any time.
12. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, lost profits or lost data, nor for the restriction or loss of WhatsApp numbers, or the acts of third parties (including Meta/WhatsApp, connection providers and AI providers). Our total liability is limited to the amounts you paid for the Service in the 3 months before the event giving rise to the claim. Nothing in these Terms limits rights that cannot be limited under applicable consumer protection law.
You agree to indemnify us against claims arising from your breach of these Terms, your messages, or your violation of law or third-party terms.
13. Suspension and termination
You may cancel and close your account at any time. We may suspend or terminate access for breach of these Terms (especially the Acceptable Use section), non-payment, or activity that puts the Service, recipients or third parties at risk. After termination you have 30 days to export your data, after which it is deleted as described in the Privacy Policy.
14. Changes to these Terms
We may update these Terms. Material changes will be announced in the Service and/or by email at least 15 days before they take effect. Continued use after that date means acceptance. Previous versions are available on request.
15. Governing law
These Terms are governed by the laws of the Federative Republic of Brazil. Disputes will be resolved in the courts of the city of our registered office, without prejudice to any mandatory consumer protection rules of your country of residence.
